Exclusivity Terms

1. We are not ready to offer exclusive rights for now, whether for your local target or surrounding regional markets. Exclusive agency will only be considered after you hit the sales target stated in our previous cooperation file. Once qualified, exclusive coverage is capped at maximum 3 local and adjacent states only. We suggest you focus on these familiar nearby states to build steady sales first.
2. To qualify and retain exclusivity, your annual sales turnover must reach at least USD 300,000. Consistent annual sales targets will apply every year to keep exclusive status.
3. The exclusive contract is time-bound with annual performance review. If you fail to meet the sales quota for two consecutive years, your exclusive authorization will be revoked immediately.

Technical Training & After-Sales Support

4. All technical training is provided remotely. We maintain a dedicated YouTube channel with full installation & operation tutorials. A dedicated WhatsApp group will be created for instant online technical guidance whenever you need support. On-site in-person training is not available at present.
5. Split liability for after-sales claims: We take full responsibility and cover all compensation for defects caused by our product quality. If issues arise from improper construction operation by your local clients, our team will supply free technical solutions but we will not provide compensation for such cases. Local daily after-sales coordination will be handled by Mexicom on-site.
6. We can supply electronic catalogs and digital marketing materials free of charge. Physical product samples are available but sample fees and courier freight shall be borne by your side.

Product Samples & Testing

7. Yes, we can arrange formwork system samples to be sent before you place your pilot order.
8. Sample production lead time is around 7–10 working days. Sample cost and delivery freight will be charged to distributor.
9. All our formwork products have passed SGS testing and fully comply with international construction quality standards. Full test reports can be provided upon request.

Liability & Risk

10. As mentioned above: Zhuniu holds full liability for manufacturing defects of our products. Construction misuse or improper installation risks fall under distributor’s responsibility.
11. Our cargo insurance only covers goods before loading on vessel at China port. After shipment under FOB term, all shipping insurance, cargo loss and damage risks during transit to your country are the sole responsibility of distributor.
12. Any disputes arising from this cooperation shall be governed by internationally accepted general trade provisions. Both parties shall resolve disputes through friendly negotiation in the first instance. If negotiation cannot reach an agreement, the dispute shall be submitted to arbitration handled by the Chinese Embassy.

Distributor & Payment Terms

13. There is no strict MOQ restriction for initial pilot orders, yet pilot orders will be charged at standard unit price with no volume discount.
14. L/C payment is unavailable for new partners with cooperation tenure less than 1 year. We only accept T/T telegraphic transfer for the first year of cooperation. After one year of stable partnership, we will conduct a comprehensive credit evaluation of your company and local banking environment, then decide whether L/C can be accepted for future bulk orders.

Pro Forma Invoice & Commercial Terms

15. We will issue a formal pro forma invoice including unit prices, total quantities and full delivery terms shortly after our online meeting.
16. Our unified Incoterm is FOB China Port. Under FOB, Zhuniu is only responsible for manufacturing, loading goods onto the vessel at designated Chinese port. All costs and risks post loading belong to distributor.
17. Unit prices will be adjusted downward for bulk orders that reach our tiered high-volume thresholds. Discount details will be listed on the proforma invoice for qualified large orders.
18. Under FOB China Port: Zhuniu arranges local trucking and loading at China port.

First Project & Timeline

19. Timeline breakdown:
    • After proforma invoice confirmation and receipt of your advance deposit: around 10 working days for production and shipment arrangement.
20. Additionally, we recommend you purchase a complete display sample set for showroom display at your company in the early cooperation stage. This full set includes column formwork, wall formwork, beam formwork, slab formwork as well as matching reinforcing supports. Local clients can inspect the complete system physically at your office, and you may place formal orders with us only after receiving confirmed orders from your customers. There is no need for you to stock inventory at the beginning. You can prepare targeted inventory based on local clients’ popular demands only after you accumulate stable customer resources.
21. Pilot / trial orders are fully acceptable before you place large bulk orders, but trial orders apply our regular standard pricing without any special discount.
